These Terms of Service ("Terms") govern your access to and use of Invoice Sync (the "Service"), operated by Invoice Sync ("we", "us", or "our"). By installing, accessing, or using the Service — including via the Clover App Market, Square App Marketplace, Shopify App Store, or the iOS App Store — you agree to be bound by these Terms.
Invoice Sync is a mobile and web application that uses optical character recognition and artificial intelligence to extract line items from invoice images and synchronize that inventory data to connected point-of-sale platforms including Clover, Square, and Shopify.
To use the Service you must authorize Invoice Sync to access your account on at least one supported POS platform via OAuth 2.0. You are responsible for maintaining the confidentiality of any credentials and for all activity that occurs under your connected accounts. You may disconnect any platform at any time from within the Service Settings.
The Service is offered in three tiers: Basic (free, limited to 3 invoice scans per calendar month), Pro ($29.95/month, unlimited scans), and Business ($79.95/month, unlimited scans plus multi-merchant support and the AI customer agent). Paid subscriptions purchased through the Clover App Market are billed by Clover under their merchant agreement; subscriptions purchased through the iOS App Store are billed by Apple. A 14-day free trial is available on paid tiers. Subscriptions renew automatically until canceled.
You agree not to: (a) use the Service to process invoices that you are not lawfully entitled to process; (b) attempt to reverse engineer, decompile, or extract the source code of the Service; (c) use the Service to transmit malicious code or to interfere with the Service's operation; (d) resell, sublicense, or commercially exploit the Service without our written permission; or (e) use the Service in violation of any applicable law.
Invoice images you submit are transmitted to third-party AI providers (currently OpenAI and Anthropic) for text extraction and processing. By using the Service you consent to this processing. We do not use your invoice content to train any AI model. See our Privacy Policy for details.
You retain all rights to the invoice images, inventory data, and merchant data you submit. We claim no ownership over your content. You grant us a limited license to process and transmit your content solely to provide the Service.
We strive to keep the Service available 24/7 but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service or any part of it at any time, with or without notice. We will provide reasonable advance notice for material changes that materially reduce functionality on paid tiers.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-EXTRACTED DATA MAY CONTAIN ERRORS — YOU ARE RESPONSIBLE FOR REVIEWING ALL EXTRACTED ITEMS BEFORE SYNCING TO YOUR POS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL INVOICE SYNC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR INVENTORY ACCURACY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Invoice Sync from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
You may stop using the Service at any time by disconnecting your platforms and uninstalling the app. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ends immediately; provisions that by their nature survive termination will survive.
These Terms are governed by the laws of the United States, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in the operator's primary place of business.
We may update these Terms from time to time. Material changes will be communicated via in-app notice or email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
